Welcome, and thank you for your interest in Flowstate Studio Inc. (“Flowstate,” “we,” or “us”) and our website at www.flowstatestudio.com, along with our related websites, mobile or other downloadable applications, and other services provided by us (collectively, the “Service”). These Terms of Service are a legally binding contract between you and Flowstate regarding your use of the Service.
PLEASE READ THE FOLLOWING TERMS CAREFULLY: BY CLICKING “I ACCEPT,” OR BY DOWNLOADING, INSTALLING, OR OTHERWISE ACCESSING OR USING THE SERVICE, YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD, AND, AS A CONDITION TO YOUR USE OF THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS AND FLOWSTATE’S PRIVACY POLICY (TOGETHER, THESE “TERMS”). IF YOU ARE NOT ELIGIBLE, OR DO NOT AGREE TO THESE TERMS, THEN YOU DO NOT HAVE OUR PERMISSION TO USE THE SERVICE.
1. Flowstate Service Overview
The Service is an all-in-one platform for content creators (“Creators”) to orchestrate their content creation workflows, including brand collaborations, performance analytics, and social media marketing. The Service also connects companies seeking content creation services (“Brands”) with Creators and allows Brands to track their content creation and social media marketing efforts.
2. Eligibility
You must be at least 13 years old to use the Service. If you are an entity, organization, or company, the individual accepting these Terms on your behalf represents and warrants that they have authority to bind you to these Terms and you agree to be bound by these Terms.
3. Accounts and Registration
To access most features of the Service, you must register for an account and provide accurate, complete, and up-to-date information. You are responsible for maintaining the confidentiality of your account and password and for all activities that occur under your account. If you believe your account is no longer secure, notify us at contact@flowstatestudio.com.
4. Fees and Payments
Certain features of the Service may require payment of fees. All fees are in U.S. Dollars and, unless required by law, are non-refundable. By placing an order or selecting a paid tier, you authorize Flowstate (or our payment processors) to charge your payment method for all applicable amounts, including taxes. Subscription plans, if offered, will auto-renew for successive periods unless canceled in accordance with your Subscription Agreement or your account settings.
5. Licenses
Subject to your compliance with these Terms, Flowstate grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use one object code copy of any mobile or other downloadable application associated with the Service on a device that you own or control and to access and use the Service. Except to the extent permitted by law, you may not: reproduce, distribute, publicly display, publicly perform, or create derivative works of the Service; make modifications to the Service; or interfere with any security or access control feature of the Service.
6. Third-Party Terms
The Service may interoperate with third-party services and platforms (e.g., Instagram, TikTok, OpenAI, Google, Anthropic). Your use of such third-party services is governed by their terms and privacy policies. Certain features may depend on third-party APIs, which can change or be discontinued at any time.
7. Beta Services
We may offer products or features identified as beta, pilot, or evaluation (“Beta Services”) for testing and feedback. Beta Services may be inoperable or incomplete and are provided “as is,” at your own risk, without warranties, and may be discontinued at any time.
8. User Content
Some features of the Service may permit you to submit, upload, publish, broadcast, or otherwise transmit content (“User Content”). You retain ownership of your User Content, subject to the rights you grant to Flowstate to host, store, reproduce, display, perform, modify for formatting, create derivative works as authorized in these Terms, and distribute your User Content as needed to operate the Service. You are solely responsible for your User Content and you represent and warrant that you have all rights necessary to grant the foregoing rights.
9. Prohibited Conduct
You agree not to misuse the Service, including (without limitation): violating laws; infringing intellectual property rights; harassing others; introducing malware; scraping; reverse-engineering access controls (except as permitted by law); or attempting to do any of the foregoing.
10. Intellectual Property Rights Protection (DMCA)
If you believe content on the Service infringes your copyright, please send a Notification of Claimed Infringement to our Designated Agent:

Counter notifications and repeat infringer policies follow 17 U.S.C. § 512.
11. Communications
You agree that Flowstate and those acting on our behalf may send you SMS messages (including marketing) at the number you provide, which may be sent using automated technology. Message and data rates may apply. To opt out of marketing SMS, reply “STOP”; to opt out of all SMS, reply “STOPALL”.
12. Disclaimers; No Warranties
The Service (including any AI-powered features and outputs) is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, and may contain errors or inaccuracies. You are responsible for independently evaluating outputs for your use cases.
13. Limitation of Liability
To the fullest extent permitted by law, Flowstate and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, and our aggregate liability will not exceed the greater of (i) amounts you paid to Flowstate in the 12 months prior to the claim, or (ii) $100.
14. Dispute Resolution and Arbitration; No Class Actions
Except for certain kinds of disputes, you and Flowstate agree to resolve disputes through binding, individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. YOU WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION. You may opt out of arbitration within 30 days of accepting these Terms by sending a written notice to the postal address below.
15. Modification; Term; Termination
We may modify these Terms from time to time. Material revisions for existing users will be effective 30 days after posting or notice. These Terms begin when you accept them or first use the Service and continue until terminated. We may suspend or terminate your access at any time. Upon termination, your license rights end and certain sections survive.
16. Miscellaneous
Governing Law & Venue: New York law (without regard to conflicts rules); courts in New York County, New York (for permitted suits).
Privacy Policy: See our Privacy Policy, incorporated by reference.
Community Guidelines: Your use must comply with our Community Guidelines (when published).
Consent to Electronic Communications: Notices we send electronically satisfy legal requirements that they be in writing.
